1. ESP will not accept your idea in confidence. Further, by submitting your idea to ESP, you agree that ESP can use your idea at its own discretion and for its own purposes.
2. You may submit more than one idea. However, if you do so, each idea should be submitted separately. Your idea should be submitted on the following form.
3. ESP will incorporate the ideas submitted into its restaurant management system at its own discretion. Not all ideas submitted will be incorporated into ESP’s restaurant management system, and ESP does not promise to use your idea. ESP will notify you only if it decides to incorporate your idea into its restaurant management system. ESP is continually developing improvements to its wireless restaurant system.
4. Should ESP decide to incorporate your unique idea into its restaurant management system, ESP agrees to pay you $1,000.00. Should several people submit substantially the same idea, ESP will use the submission it receives first.
5. In consideration for the $1,000.00 payment, you agree to the following:
   1. You agree to transfer all intellectual property rights, including patent rights, in your idea to ESP.
   2. ESP, at its discretion, may file one or more patent applications which incorporate your idea. Should ESP file a patent application which includes your idea, you will be named as an inventor on the application and any patent which issues from the application. Should ESP decide to file a patent application which includes your idea, ESP will contact you at the address you provide to have you sign documents necessary to enable ESP to file any such patent applications. You agree to sign the documents and promptly return them to ESP.
   3. Additionally, should a patent application for your idea be filed, you may receive a copy of the application for review. You agree (1) to not make any copies of the application; (2) to not show the application to anyone else; and (3) to maintain the application in the strictest confidence.
   4. Even if ESP pays you for your idea, ESP may subsequently decide not to use your idea in its restaurant management system or may subsequently decide not to file a patent application for your idea.
   5. ESP’s decision to incorporate your idea into its restaurant management system and/or to file a patent application which covers your idea may be made several weeks or even several months after you submit your idea. To enable ESP to contact you so that it can send you the $1,000.00 payment and so that you can sign the forms necessary for the filing of the patent application, you agree to keep your contact information up to date. This can be done through ESP’s website at www.espsystems.net/ideaclub/. If ESP is not able to contact you if and when it decides to use your idea, ESP will not be able to send you a check for the $1,000.00, however, by submitting the invention disclosure to ESP, you give ESP permission to file a patent application without your signature if ESP is not able to reach you at using the contact information provided by you.
